A Member in Good Standing of the Caltech Alumni Association

  1. Satisfies all of the requirements for being a Member, as stated in the CAA bylaws;
  2. Has not voluntarily withdrawn their membership;
  3. Has not been determined by the Board to no longer be in good standing after appropriate proceedings as provided for in the CAA bylaws or policies;

 

The Bylaws of CAA make certain references to members “in good standing” and to the termination of members. Proceedings to determine whether a member is not in good standing or is to be terminated shall be conducted as follows:

1. A member may either be determined by the Board to no longer be in good standing or be terminated as a member as a result of (i) engaging in behavior that materially breaches CAA’s policies or Caltech’s Honor Code (including, without limitation, the misuse of CAA resources or taking actions that damage CAA’s reputation), or (ii) otherwise engaging in conduct materially and seriously prejudicial to CAA’s purposes and interests, which determination shall in each case be made pursuant to a proceeding as described herein.

2. Prior to making a determination that a member is not in good standing or is to be terminated, the Board shall give the member at least 15 days’ prior notice of the proposed determination and the reasons therefor. Notice shall be given by any method reasonably calculated to provide actual notice, and notice by mail shall be sent by first-class or registered mail to the member’s last address as shown on CAA’s records.

3. The Member shall be given an opportunity to be heard, either orally or in writing, at least 5 days before the effective date of the proposed determination. The hearing shall be held, or the written statement considered, by a committee composed of at least three members of the Board (the “Review Committee”).

4. The Review Committee shall decide whether the member should be determined to not be in good standing or terminated.

5. Upon reaching its conclusion, the Review Committee will communicate its decision to all parties involved and the Board.

6. The Review Committee’s decision is final.

7. Any action challenging a determination that a member is not in good standing or a termination, including any claim alleging defective notice, must be commenced within one year after the date of such determination or termination.
